Article L236-4 of the French Commercial code

The merger takes effect:

1° In the case of the creation of one or more new companies, on the date of registration, in the Trade and Companies Register, of the new company or the last of them ;

2° In other cases, on the date of the last general meeting approving the merger unless the agreement provides for the merger to take effect on another date, which must be neither later than the closing date of the current financial year of the recipient company or companies nor earlier than the closing date of the last closed financial year of the company or companies transferring their assets and liabilities.

La fusion prend effet :

1° En cas de création d’une ou plusieurs sociétés nouvelles, à la date d’immatriculation, au registre du commerce et des sociétés, de la nouvelle société ou de la dernière d’entre elles ;

2° Dans les autres cas, à la date de la dernière assemblée générale ayant approuvé la fusion sauf si le contrat prévoit que la fusion prend effet à une autre date, laquelle ne doit être ni postérieure à la date de clôture de l’exercice en cours de la ou des sociétés bénéficiaires ni antérieure à la date de clôture du dernier exercice clos de la ou des sociétés qui transmettent leur patrimoine.
