Article L236-50 of the French Commercial code

Cross-border transformation is the operation whereby a société par actions or a société à responsabilité limitée registered in France, without being dissolved or wound up or put into liquidation, transforms into a company with a legal form governed by the law of another Member State of the European Union listed in Annex II to Directive EU 2017/1132 of the European Parliament and of the Council, of 14 June 2017 on certain aspects of company law, and transfers at least its registered office to that other Member State, while retaining its legal personality, under the conditions provided for by the provisions of this Subsection and by those of Subsection 1 of this Section which do not conflict with them.

La transformation transfrontalière est l’opération par laquelle une société par actions ou une société à responsabilité limitée immatriculée en France, sans être dissoute ou liquidée ou mise en liquidation, se transforme en une société de forme juridique relevant du droit d’un autre Etat Membre de l’Union européenne figurant en annexe II de la directive UE 2017/1132 du Parlement européen et du Conseil, du 14 juin 2017, relative à certains aspects du droit des sociétés, et transfère au moins son siège statutaire dans cet autre Etat membre, tout en conservant sa personnalité juridique, dans les conditions prévues par les dispositions de la présente sous-section ainsi que par celles de la sous-section 1 de la présente section qui ne leur sont pas contraires.
