Article L236-6 of the French Commercial code

All companies involved in a merger draw up draft terms of merger.

These draft terms are filed with the clerk of the commercial court of the registered office of the said companies to be appended to the register of companies and are subject to publicity, the terms of which are set by decree in the Conseil d’Etat.

Toutes les sociétés qui participent à une fusion établissent un projet de fusion.

Ce projet est déposé au greffe du tribunal de commerce du siège desdites sociétés pour être annexé au registre du commerce et des sociétés et fait l’objet d’une publicité dont les modalités sont fixées par décret en Conseil d’Etat.
