Article L2363-12 of the French Labour Code

In the case of the European Cooperative Society referred to in Article L. 2363-11, the terms of involvement referred to in Chapter I of this Title are determined under the following conditions:

1° Within the European Cooperative Society, information and consultation are governed by Titles I and II of this Book and participation is organised, where applicable, in accordance with Articles L. 225-27 to L. 225-34, L. 225-79 and L. 225-80 of the Commercial Code, with the exception of the territoriality condition mentioned in the first paragraph of article L. 225-28. Seats on the Board of Directors or the Supervisory Board are allocated in proportion to the number of employees in each Member State;

2° Within the subsidiaries and establishments of the European Cooperative Society, information and consultation are governed by the provisions applicable in the Member State in which these subsidiaries and establishments are located.

Article L2363-12

Dans le cas de la société coopérative européenne mentionnée à l’article L. 2363-11, les modalités de l’implication mentionnées au chapitre Ier du présent titre sont déterminées dans les conditions suivantes :

1° Au sein de la société coopérative européenne, l’information et la consultation sont régies par les titres Ier et II du présent livre et la participation est organisée, le cas échéant, selon les articles L. 225-27 à L. 225-34, L. 225-79 et L. 225-80 du code de commerce, à l’exception de la condition de territorialité mentionnée au premier alinéa de l’article L. 225-28. La répartition des sièges au conseil d’administration ou au conseil de surveillance est effectuée proportionnellement au nombre de salariés employés dans chaque Etat membre ;

2° Au sein des filiales et établissements de la société coopérative européenne, l’information et la consultation sont régies par les dispositions applicables dans l’Etat membre dans lequel ces filiales et établissements sont situés.
