A European Cooperative Society Committee is set up when, at the end of the negotiation period provided for in Article L. 2362-4, no agreement has been reached and the special negotiation body has not taken the decision provided for in the second paragraph of Article L. 2362-7.
In the case provided for in Article L. 2363-1, the registration of the European Cooperative Society may only take place if the parties decide to implement the provisions of this Chapter and of Chapter IV of this Title, or if the directors of the participating legal entities or the participating natural persons undertake to implement them.
The powers of the Committee of the European Cooperative Society are determined in accordance with the provisions of Articles L. 2353-3 to L. 2353-6 relating to the powers of the Committee of the European Company.
The composition of the Committee of the European Cooperative Society is determined in accordance with the provisions of Articles L. 2353-7 to L. 2353-12 relating to the composition of the Committee of the European Company.
The members of the Committee of the European Cooperative Society representing the staff of the participating entities, subsidiaries and establishments concerned located in France are appointed in accordance with the provisions of Article L. 2352-5 and, where applicable, Article L. 2352-6.
The provisions of articles L. 2353-13 to L. 2353-27-1 relating to the operation of the European Company Committee apply to the European Cooperative Society.
The members of the European Company Committee and the experts who assist them are bound by professional secrecy and the obligation of discretion provided for in Article L. 2325-5.

In the absence of an agreement, the provisions of articles L. 2353-29 to L. 2353-32 relating to employee participation on the board of directors and supervisory board within the European Company apply to the European Cooperative Society.
By way of derogation from the provisions of Article L. 2363-9 insofar as it refers to the first paragraph of Article L. 2353-32, the State in which the registered office of the European Cooperative Society is situated shall in any event have at least one registered office.
