The terms and conditions of employee participation, within the meaning of Article L. 2351-6, shall be determined by agreement between the management of the companies involved in the cross-border operation and the employee representatives in accordance with this Chapter and Chapter II of this Title. Failing agreement, these terms and conditions shall be determined in accordance with Chapter III of this Title.
By way of derogation from the first paragraph, the managers of the companies involved in a cross-border merger may choose to set up, without prior negotiation where at least one of the companies involved in the operation has an employee participation system, the arrangements for employee participation in accordance with Chapter III of this Title.
The managers of the companies participating in the cross-border operation shall inform the employee representatives or, in their absence, the employees themselves of their choice to enter into negotiations or to apply the provisions of the second paragraph of this article and, in the first case, of the outcome of the negotiations.
