Article L2373-5 of the French Labour Code

If only one form of employee participation exists within the participating companies, this system shall be applied to the company resulting from the cross-border merger, taking into account, for its implementation, the proportion or, as the case may be, the highest number of members concerned by participation rights in the administrative or supervisory body. If several forms of employee participation exist within the participating companies, the special negotiating body shall determine which of these forms shall be introduced in the company resulting from the cross-border operation.

Si une seule forme de participation des salariés existe au sein des sociétés participantes, ce système est appliqué à la société issue de la fusion transfrontalière en retenant, pour sa mise en place, la proportion ou, selon le cas, le nombre le plus élevé de membres concernés par les droits à participation au sein de l’organe d’administration ou de surveillance. Si plusieurs formes de participation des salariés existent au sein des sociétés participantes, le groupe spécial de négociation détermine laquelle de ces formes est instaurée dans la société issue de l’opération transfrontalière.
