Article L322-1-4 of the French Insurance Code

The conclusion by a company of an affiliation agreement with an insurance group company or the termination of such an agreement are subject to prior declaration to the Autorité de contrôle prudentiel et de résolution. The latter has a period of time, set by decree in the Conseil d’Etat, from receipt of the application to oppose the proposed transaction if it appears to be contrary to the interests of policyholders. The same applies when a company is excluded from the insurance group company.

A decree of the Conseil d’Etat shall determine the terms and conditions for the application of this article and shall specify the operating conditions of these insurance group companies.

La conclusion par une entreprise d’une convention d’affiliation à une société de groupe d’assurance ou la résiliation de celle-ci font l’objet d’une déclaration préalable à l’Autorité de contrôle prudentiel et de résolution. Celle-ci dispose d’un délai dont la durée est fixée par décret en Conseil d’Etat à compter de la réception du dossier pour s’opposer à l’opération projetée si celle-ci apparaît contraire aux intérêts des assurés. Il en va de même lorsqu’une entreprise fait l’objet d’une mesure d’exclusion de la société de groupe d’assurance.

Un décret en Conseil d’Etat détermine les modalités d’application du présent article et précise les conditions de fonctionnement de ces sociétés de groupe d’assurance.
