The Boards of Directors of the central insurance companies include, in addition to the Chairman and Chief Executive Officer:
a) Three directors representing the French State, appointed by the Minister for the Economy and Finance;
b) One director appointed by the Minister of the Economy and Finance for his technical expertise, after consultation with the Comité Consultatif du Secteur Financier. A second director is appointed under the same conditions when shareholders other than the French State are represented by only one director;
c) Three directors representing employees, managers and inspectors and general agents respectively. These three directors are appointed by the Minister for Social Affairs on the recommendation of the most representative trade unions;
d) Three directors representing policyholders, appointed by the Minister for the Economy and Finance on the recommendation of the national producer or consumer organisations most qualified, by insurance branch, to participate in the management of the companies concerned;
e) One or two directors representing shareholders other than the French State, depending on whether the share of these shareholders in the capital of the central insurance company does not exceed or exceeds 10%. At least one of these directors represents individual shareholders. These directors are elected in accordance with the procedures laid down by decree in the Conseil d’Etat.
