Article L322-29 of the French Insurance Code

Where an insurance undertaking in the form of a société européenne registered in France intends to transfer its registered office outside France, it shall inform the Autorité de contrôle prudentiel et de résolution no later than the day of publication of the proposed transfer.

Without prejudice to the provisions of Article L. 229-4 of the Commercial Code, the Autorité de contrôle prudentiel et de résolution is competent to oppose, in accordance with the provisions of Article 8(14) and Article 19 of Council Regulation (EC) No 2157/2001 of 8 October 2001 referred to above, the transfer of the registered office of an insurance undertaking constituted in the form of a société européenne registered in France, which would result in a change in the applicable law, and the formation of a société européenne by way of a merger involving an insurance undertaking authorised in France. This decision may be appealed to the Conseil d’Etat.

Lorsqu’une entreprise d’assurance constituée sous forme de société européenne immatriculée en France envisage de transférer son siège statutaire hors de France, elle en informe l’Autorité de contrôle prudentiel et de résolution au plus tard le jour de la publication du projet de transfert.

Sans préjudice des dispositions de l’article L. 229-4 du code de commerce l’Autorité de contrôle prudentiel et de résolution est compétente pour s’opposer, conformément aux dispositions du 14 de l’article 8 et de l’article 19 du règlement (CE) n° 2157/2001 du Conseil du 8 octobre 2001 précité, au transfert de siège social d’une entreprise d’assurance constituée sous forme de société européenne immatriculée en France et dont résulterait un changement du droit applicable ainsi qu’à la constitution d’une société européenne par voie de fusion impliquant une entreprise d’assurance agréée en France. Cette décision est susceptible de recours devant le Conseil d’Etat.
