Article L322-4-5 of the French Insurance Code

In the event of one or more members of the Supervisory Board ceasing to hold office, following a decision by the Autorité de contrôle prudentiel et de résolution to oppose their appointment pursuant toarticle L. 612-23-1 of the French Monetary and Financial Code, the undertakings referred to in 1° of III of article L. 310-1-1 and in 1° of I of article L. 310-2 of this Code and constituted as sociétés anonymes shall fill the vacant seats in accordance with the conditions set out inarticle L. 225-78 of the French Commercial Code.

En cas de cessation de mandat d’un ou plusieurs membres du conseil de surveillance, à la suite d’une décision d’opposition prise par l’Autorité de contrôle prudentiel et de résolution en application de l’article L. 612-23-1 du code monétaire et financier, les entreprises mentionnées au 1° du III de l’article L. 310-1-1 et au 1° du I de l’article L. 310-2 du présent code et constituées sous forme de sociétés anonymes pourvoient les sièges vacants dans les conditions prévues à l’article L. 225-78 du code de commerce.
