Any agreement entered into directly or through an intermediary between the occupational health and safety service and its Chairman, its Director or one of its Directors must be submitted to the Board of Directors for prior authorisation.
The same applies to agreements in which one of the persons referred to in the first paragraph has an indirect interest.
Agreements between the occupational health and safety service and a company are also subject to prior authorisation if the chairman, the director or one of the directors of the occupational health and safety service is the owner, partner with unlimited liability, manager, director, member of the supervisory board or, in general, a manager of this company.
Where the first three paragraphs apply to the chairman of the occupational health and safety service or to one of its directors, he may not take part in the vote on the authorisation requested.
Where the agreements relate to current transactions or transactions entered into under customary conditions, they shall only be disclosed to the Chairman and members of the Board of Directors.
