Article L512-40 of the French Monetary and Financial Code

The appointment of directors of the regional mutual credit banks is subject to the approval of the central body of Crédit Agricole. Such appointments may not include any commitment by the regional mutual to maintain the director in office for a fixed term.

Directors may be dismissed by a decision of the Managing Director of the Central Body of Crédit Agricole, taken after consulting the Board of Directors.

They are prohibited, except with the special authorisation of the central body of agricultural credit, from engaging in an industrial or commercial occupation, from holding a remunerated private job, from carrying out, on a private basis, work for remuneration, or from holding the office of director of an institution likely to receive loans from agricultural credit.

La nomination des directeurs des caisses régionales de crédit agricole mutuel est soumise à l’agrément de l’organe central du crédit agricole. Elle ne peut comporter, de la part de la caisse régionale, aucun engagement de maintenir le directeur dans ses fonctions pour une durée déterminée.

Les directeurs peuvent être révoqués par décision du directeur général de l’organe central du crédit agricole, prise après avis du conseil d’administration.

Il leur est interdit, sauf autorisation spéciale de l’organe central du crédit agricole, soit d’exercer une profession industrielle ou commerciale, soit de remplir un emploi privé rétribué, soit d’effectuer, à titre privé, un travail moyennant rémunération, soit enfin de remplir les fonctions d’administrateur d’une institution susceptible de recevoir des prêts du crédit agricole.
