Article L512-65 of the French Monetary and Financial Code

A Government Commissioner is appointed by the Minister for the Economy to each cooperative bank.

The Government Commissioner attends all meetings of the Board of Directors or the Supervisory Board, the Management Board and the committees set up within the Boards, as well as all meetings of the General Meeting of Members. It may request access to all company documents. It may veto any decision that is contrary to the company’s Articles of Association or to the laws and regulations in force. Within eight days, the company may appeal against the Government Commissioner’s decision to the Minister for the Economy, who is required to give a ruling within fifteen days. Failing this, the veto is lifted.

The Government Commissioner has the same powers in respect of companies controlled by the cooperative bank.

Un commissaire du Gouvernement est désigné par le ministre chargé de l’économie auprès de chaque société coopérative de banque.

Il assiste à toutes les séances du conseil d’administration ou du conseil de surveillance et du directoire et des comités constitués au sein des conseils ainsi qu’à toutes les séances de l’assemblée générale des sociétaires. Il peut demander communication de tous les documents de la société. Il oppose son veto à toute décision qui serait contraire aux statuts de la société ou aux lois et règlements en vigueur. La société peut, dans un délai de huit jours, faire appel de la décision du commissaire du Gouvernement devant le ministre chargé de l’économie qui est tenu de se prononcer dans les quinze jours. A défaut, le veto est levé.

Le commissaire du Gouvernement dispose des mêmes pouvoirs auprès des sociétés dont la société coopérative de banque détient le contrôle.
