The share capital of hospital cooperative societies with non-cooperating members is divided into two fractions distinguishing between the shares of cooperating members and those of non-cooperating members.
The capital of sociétés coopératives hospitalières de médecins is represented by registered shares. Their nominal value is uniform.
The capital is variable. The capital may not be remunerated, unless expressly provided for in the articles of association, within the framework set by this chapter, which may only apply to non-cooperating members.
In the articles of association, the rules relating to the determination of the shares to be subscribed by the cooperative members are fixed in proportion to their contributions or the fees paid to them by the cooperative in return for their contributions. The withdrawal or exclusion of a member obliges the cooperative society to reimburse the shares at their nominal value, which may be revalued within the limit set by article 18 of the aforementioned law no. 47-1775 of 10 September 1947 and according to a rule which may only be modified after five years of implementation.
