Article L621-8-2 of the French Monetary and Financial Code

The General Regulation of the Autorité des marchés financiers defines the terms and conditions under which the following transactions are subject to promotional communications:

1° Public offers of financial securities, with the exception of those mentioned in 1° of Article L. 411-2 or in 2° or 3° of Article L. 411-2-1;

2° The admission of financial instruments to trading on a regulated market.

The AMF may prohibit or suspend promotional communications for ten trading days if it has reasonable grounds to suspect that they are contrary to the provisions of this article.

Le règlement général de l’Autorité des marchés financiers définit les conditions et les modalités selon lesquelles les opérations suivantes font l’objet de communications à caractère promotionnel :


1° Les offres au public de titres financiers, à l’exception de celles mentionnées au 1° de l’article L. 411-2 ou au 2° ou 3° de l’article L. 411-2-1 ;


2° L’admission d’instruments financiers aux négociations sur un marché réglementé.


L’autorité peut interdire ou suspendre pendant dix jours de bourse les communications à caractère promotionnel lorsqu’elle a des motifs raisonnables de soupçonner qu’elles sont contraires aux dispositions du présent article.
