Article R121-15 of the French Monetary and Financial Code

The Board of Directors may, on the recommendation of the Chairman and Chief Executive Officer, appoint a Deputy Chief Executive Officer to assist the Chairman and Chief Executive Officer. Where appropriate, the Board of Directors shall specify the responsibilities of the Deputy Chief Executive Officer and determine his term of office.

If the Chairman and Chief Executive Officer ceases to hold office or is prevented from carrying out his duties, the Deputy Chief Executive Officer retains his duties and responsibilities, unless the Board decides otherwise, until the appointment of a new Chairman and Chief Executive Officer.

Le conseil d’administration peut, sur proposition du président-directeur général, nommer un directeur général adjoint qui a pour mission d’assister le président-directeur général. Le conseil d’administration précise, le cas échéant, les attributions du directeur général adjoint et détermine la durée de son mandat.

Lorsque le président-directeur général cesse ou est empêché d’exercer ses fonctions, le directeur général adjoint conserve, sauf décision contraire du conseil, ses fonctions et ses attributions, le cas échéant jusqu’à la nomination du nouveau président-directeur général.
