Article R123-110 of the French Commercial code

In the event of the transfer of the registered office outside the jurisdiction of the court at the registry of which the legal entity was registered, a copy of the articles of association or the grouping contract is filed at the registry of the court of the new registered office under the conditions and within the time limits provided for in the first two paragraphs of Article R. 123-105.

Mention is made, in a document annexed to the articles of association or the contract, of the previous registered offices and the registries where the deeds referred to in Articles R. 123-102 to R. 123-105 with an indication of the date of the last transfer of the registered office.

Notification of the filing is made within fifteen days by the registrar of the new registered office to the registrar of the old registered office, who makes a corresponding entry in the file.

En cas de transfert du siège hors du ressort du tribunal au greffe duquel la personne morale a été immatriculée, un exemplaire des statuts ou du contrat de groupement est déposé au greffe du tribunal du nouveau siège dans les conditions et délais prévus aux deux premiers alinéas de l’article R. 123-105.

Mention est faite, dans une pièce annexée aux statuts ou au contrat, des sièges antérieurs et des greffes où sont classés, en annexe au registre, les actes mentionnés aux articles R. 123-102 à R. 123-105 avec l’indication de la date du dernier transfert du siège.

Notification du dépôt est faite dans les quinze jours par le greffier du nouveau siège au greffier de l’ancien siège, qui porte une mention correspondante au dossier.
