Article R123-312 of the French Commercial code

Any deletion mentioned or reported ex officio from the register of companies by the clerk of the commercial court or of the judicial court ruling in commercial matters shall be brought to the attention of the keeper of the National Register of Companies for the purpose of deletion from that register. The Registrar proceeds as specified in the second paragraph of article R. 123-83.

The automatic removal of a legal entity from the Trade and Companies Register is equivalent to its removal from the National Register of Companies.

The automatic removal of a legal entity from the Trade and Companies Register is equivalent to its removal from the National Register of Companies.
The automatic removal of a natural person from the Trade and Companies Register is equivalent to the removal of that person from the National Register of Companies, unless the natural person carries on an activity not covered by this register and the exercise of which is not prevented by a measure referred to in the third paragraph of Article L. 128-1.

The provisions of this article shall apply to the striking off of the special register of commercial agents or the special register of sole proprietorships with limited liability by the clerk of the commercial court or the judicial court ruling in commercial matters.

Toute radiation mentionnée ou rapportée d’office au registre du commerce et des sociétés par le greffier du tribunal de commerce ou du tribunal judiciaire statuant en matière commerciale est portée à la connaissance du teneur du Registre national des entreprises aux fins de radiation au sein de ce registre. Le greffier procède ainsi qu’il est précisé au deuxième alinéa de l’article R. 123-83.


La radiation d’office d’une personne morale au registre du commerce et des sociétés vaut radiation de celle-ci au Registre national des entreprises.


La radiation d’office d’une personne physique au registre du commerce et des sociétés vaut radiation de celle-ci au Registre national des entreprises, sauf si la personne physique exerce une activité ne relevant pas de ce registre et dont l’exercice n’est pas empêché par une mesure mentionnée au troisième alinéa de l’article L. 128-1.


Les dispositions du présent article sont applicables aux radiations mentionnées d’office par le greffier du tribunal de commerce ou du tribunal judiciaire statuant en matière commerciale au registre spécial des agents commerciaux ou au registre spécial des entreprises individuelles à responsabilité limitée.
