The Board of Directors is convened at least twice a year by its Chairman, who sets the agenda. It is convened by right at the request of half of its members.
The Board of Directors may only validly deliberate if at least half of its members are present. If the quorum is not reached, the Board is reconvened with the same agenda within eight days. It will then deliberate validly regardless of the number of members present.
Deliberations are taken by majority vote. In the event of a tie, the Chairman has the casting vote.
