A specialised professional fund may only dispose of unmatured or lapsed loans that it has granted after the Autorité des marchés financiers has approved a specific programme of operations submitted by its management company, in accordance with the conditions set out in the general regulations of that authority.
However, the approval referred to in the first paragraph is not required:
1° When the fund is being liquidated in the interests of the unitholders or shareholders;
2° Where the outstanding capital of an unmatured debt of the fund that may be sold is less than a percentage of the maximum amount of the outstanding capital of that debt. This percentage is defined in the fund’s regulations or articles of association and does not exceed a ceiling set by order of the Minister for the Economy;
3° When the fund’s units or shares are no longer held by more than one holder or shareholder;
4° When the fund must meet its commitments arising from a contract constituting a forward financial instrument, a loan, a guarantee or a risk sub-participation;
5° In the event of a deterioration in the financial situation of a debtor company resulting in the holding of doubtful or disputed receivables;
6° When the transfer is made in order to enable the organisation to comply with its investment rules, as specified in its regulations or articles of association.
