Article R225-160-1 of the French Commercial code

The expert referred to in Article L. 225-209-2 is appointed unanimously by the shareholders or, failing this, by the president of the commercial court ruling on a petition at the request of the corporate officers.

He is chosen from among the statutory auditors registered on the list provided for in I of Article L. 822-1 or from among the experts registered on the lists drawn up by the courts and tribunals.

He must not have any links with the company that affect his independence within the meaning of article L. 822-11-3.

L’expert mentionné à l’article L. 225-209-2 est désigné à l’unanimité des actionnaires ou, à défaut, par le président du tribunal de commerce statuant sur requête à la demande des dirigeants sociaux.

Il est choisi parmi les commissaires aux comptes inscrits sur la liste prévue au I de l’article L. 822-1 ou parmi les experts inscrits sur les listes établies par les cours et tribunaux.

Il ne doit pas présenter avec la société des liens portant atteinte à son indépendance au sens de l’article L. 822-11-3.
