Article R2312-31 of the French Labour Code

The social and economic committee, represented by one of its members, may, in accordance with the conditions set out in the first paragraph of Article L. 2312-77, request the President of the Commercial Court, acting in summary proceedings, to appoint a court-appointed agent to convene the shareholders’ meeting.

The order shall set the agenda.

Le comité social et économique représenté par un de ses membres peut, dans les conditions prévues au premier alinéa de l’article L. 2312-77, demander au président du tribunal de commerce statuant en référé la désignation d’un mandataire de justice chargé de convoquer l’assemblée des actionnaires.

L’ordonnance fixe l’ordre du jour.
