Article R2312-39 of the French Labour Code

At least half of the members of the Boards of Directors or, failing that, of the management bodies of social institutions other than those mentioned in the second paragraph of Article R. 2312-37 are members representing the Social and Economic Committee. The same applies to the control or supervisory committees of these institutions. These members may be chosen from outside the committee and appointed preferably from among the members or beneficiaries of the institutions.

The representatives of the Social and Economic Committee on the Board of Directors of cooperative and consumer societies are chosen from among the members of the society.

The representatives of the Social and Economic Committee on the boards or bodies mentioned in the first paragraph sit with the same rights and under the same conditions as the other members.

Les conseils d’administration ou, à défaut, les organismes de direction des institutions sociales autres que celles mentionnées au second alinéa de l’article R. 2312-37 sont composés au moins par moitié de membres représentant le comité social et économique. Il en va de même des commissions de contrôle ou de surveillance de ces institutions. Ces membres peuvent être choisis en dehors du comité et désignés, de préférence, parmi les adhérents ou les bénéficiaires des institutions.

Les représentants du comité social et économique au conseil d’administration des sociétés coopératives et de consommation sont choisis parmi les adhérents à la société.

Les représentants du comité social et économique dans les conseils ou organismes mentionnés au premier alinéa siègent avec les mêmes droits et dans les mêmes conditions que les autres membres.
