Article R233-6 of the French Code of civil enforcement procedures

A set of specifications shall be drawn up for the sale, which shall contain, in addition to a reminder of the previous procedure:
1° The company’s articles of association;
2° Any document required to assess the nature and value of the rights offered for sale.
Agreements instituting an approval or creating a preferential right in favour of members are only binding on the successful bidder if they are included in the specifications.

Il est établi un cahier des charges en vue de la vente qui contient, outre le rappel de la procédure antérieure :
1° Les statuts de la société ;
2° Tout document nécessaire à l’appréciation de la consistance et de la valeur des droits mis en vente.
Les conventions instituant un agrément ou créant un droit de préférence au profit des associés ne s’imposent à l’adjudicataire que si elles figurent dans le cahier des charges.
