Article R321-43-1 of the French Commercial code

An Audit Committee is established within the Council of Sales Houses for the purpose of ensuring the proper implementation of the budget.

The Audit Committee shall consist of three members of the Council elected by the Council. On a proposal from the Chairman, the Board appoints the Chairman of the Audit Committee by a majority of its members.

The Government Commissioner is notified of Audit Committee meetings. At his request, he may attend.

The Audit Committee meets at least once a year, on the proposal of its chairman or the Government Commissioner.

It examines documents relating to the preparation and implementation of the budget and financial accounts. It issues a written opinion on the proposed budget and financial accounts when they are submitted to the Council of auction houses.

It issues opinions on IT projects, the taking of leases on premises and their fitting out.

The Audit Committee issues an annual opinion to the Sales Houses Council on the implementation of the budget.

Il est institué un comité d’audit au sein du Conseil des maisons de vente aux fins de veiller à la bonne exécution du budget.

Le comité d’audit est composé de trois membres du Conseil élus par celui-ci. Sur proposition du président, le Conseil désigne le président du comité d’audit à la majorité de ses membres.

Le commissaire du Gouvernement est avisé des réunions du comité d’audit. A sa demande, il peut y assister.

Le comité d’audit se réunit au moins une fois par an, sur proposition de son président ou du commissaire du Gouvernement.

Il examine les documents de préparation et d’exécution du budget et des comptes financiers. Il émet un avis écrit sur le budget proposé et les comptes financiers lors de leur soumission au Conseil des maisons de vente.

Il émet des avis relatifs aux projets informatiques, à la prise de bail de locaux et à leur aménagement.

Le comité d’audit émet à l’intention du Conseil des maisons de vente, un avis annuel sur l’exécution du budget.
