Article R321-45-2 of the French Commercial code

The Government Commissioner may invite the professional and the person making the complaint to find an amicable solution.

The professional and the person submitting the claim who agree to seek an amicable solution must undertake to respect the strictly confidential nature thereof. They may be assisted by a lawyer.
The Government Commissioner, with the help of the person referred to in the second paragraph of article L. 321-23-1, proposes an amicable solution.

In the event of an agreement, a report is drawn up by the Government Commissioner.
If an agreement is reached, minutes are drawn up. The minutes are signed by the professional, the person making the complaint and the Government Commissioner. A copy of the minutes is given to each of the signatories.
If this is not the case, the Government Commissioner will certify that no agreement has been reached.

Le commissaire du Gouvernement peut inviter le professionnel et l’auteur de la réclamation à trouver une solution amiable.


Le professionnel et l’auteur de la réclamation qui acceptent la recherche d’une solution amiable doivent s’engager à en respecter le caractère strictement confidentiel. Ils peuvent se faire assister par un avocat.


Le commissaire du Gouvernement propose, avec l’aide de la personnalité visée au deuxième alinéa de l’article L. 321-23-1, une solution amiable.


En cas d’accord, un procès-verbal est établi. Le procès-verbal est signé par le professionnel, l’auteur de la réclamation et par le commissaire du Gouvernement. Un exemplaire du procès-verbal est remis à chacun des signataires.


Dans le cas contraire, le commissaire du Gouvernement atteste de l’absence d’accord.
