Article R321-49-1 of the French Commercial code

If a member of the committee is unable to attend, his or her alternate shall take his or her place.

If a member is permanently unable to attend during his or her term of office, his or her alternate shall take his or her place.
If a member is permanently prevented from carrying out his/her duties, he/she shall be replaced in accordance with the procedures set out in articles L. 321-23 and R. 321-49. The duties of the new member expire on the date on which those of the member he replaces would have ceased.

Article R321-49-1

En cas d’empêchement d’un membre de la commission, il est remplacé par son suppléant.

Lorsqu’un membre est définitivement empêché en cours de mandat, il est procédé à son remplacement selon les modalités prévues aux articles L. 321-23 et R. 321-49. Les fonctions du nouveau membre expirent à la date à laquelle auraient cessé celles du membre qu’il remplace.
