Article R411-4 of the French Intellectual Property Code

The Board of Directors defines the institution’s general policy within the framework of the guidelines laid down by the supervisory ministers. In particular, it has the following powers:

1° It approves the budget and its amendments, the financial account for the financial year ended and the allocation of the result and gives its opinion on the annual activity report;

2° It sets the guidelines for the pricing policy, the general conditions for the award of contracts, agreements and procurement contracts concluded by the establishment, the general conditions for the employment and remuneration of staff, the establishment’s internal rules ;

3° It decides on the creation or closure of subsidiaries, the acquisition or disposal of shareholdings, and the purchase, sale or lease of buildings;

4° It authorises loans and accepts gifts and legacies;

5° It decides on legal actions and settlements. It may delegate these powers to the executive director of the establishment.

Le conseil d’administration définit la politique générale de l’établissement dans le cadre des orientations fixées par les ministres de tutelle. Il dispose notamment des compétences suivantes :

1° Il approuve le budget et ses modifications, le compte financier de l’exercice clos et l’affectation du résultat et se prononce sur le rapport annuel d’activité ;

2° Il fixe les orientations de la politique tarifaire, les conditions générales de passation des contrats, conventions et marchés conclus par l’établissement, les conditions générales d’emploi et de rémunération du personnel, le règlement intérieur de l’établissement ;

3° Il décide de la création ou de la suppression de filiales, des acquisitions ou cessions de participations, de l’achat, de la vente ou de la location d’immeubles ;

4° Il autorise les emprunts et accepte les dons et legs ;

5° Il décide des actions en justice et des transactions. Il peut déléguer ces pouvoirs au directeur général de l’établissement.
