Article R411-5 of the French Intellectual Property Code

The Board of Directors meets at least twice a year. It is convened by its Chairman on an agenda set by the Chairman.

A quorum is reached if at least seven of its members are present or represented.

When the quorum is not reached, the Board validly deliberates without a quorum condition after a new convocation on the same agenda and specifying that no quorum will be required.

In the event of a tie, the Chairman shall have the casting vote.

In the absence or unavailability of the Chairman, his powers shall be exercised by the Vice-Chairman.

Each member of the Board may give a proxy to another member. No person may hold more than one proxy.

The Board of Directors may adopt its own rules of procedure.

Le conseil d’administration se réunit au moins deux fois par an. Il est convoqué par son président sur un ordre du jour fixé par celui-ci.

Le quorum est atteint si sept au moins de ses membres sont présents ou représentés.

Lorsque le quorum n’est pas atteint, le conseil délibère valablement sans condition de quorum après une nouvelle convocation portant sur le même ordre du jour et spécifiant qu’aucun quorum ne sera exigé.

En cas de partage égal des voix, celle du président est prépondérante.

En cas d’absence ou d’empêchement du président, ses attributions sont exercées par le vice-président.

Chaque membre du conseil peut donner pouvoir à un autre membre. Nul ne peut détenir plus d’un pouvoir.

Le conseil d’administration peut se doter d’un règlement intérieur.
