Article R4211-8 of the French General Code of Local Authorities

The Regional Council decides on any sale of shares in a commercial company that it holds in the light of a report drawn up, at the time of the sale, by one or more experts chosen from persons offering every guarantee of independence, good repute, competence in the valuation of companies and company shares and knowledge of the business sector concerned and the local market.

This report includes in particular:

1° An analysis of the financial situation of the company and its prospects for development;

2° An assessment of the real value of the company according to objective methods commonly used for the total or partial disposal of company assets.

This report is appended to the deliberation of the regional council deciding on the disposal.

Le conseil régional se prononce sur toute cession de parts de capital qu’il détient dans une société commerciale au vu d’un rapport établi, au moment de la cession, par un ou plusieurs experts choisis parmi les personnes présentant toutes garanties d’indépendance, d’honorabilité, de compétence en matière d’évaluation d’entreprises et de titres de sociétés et de connaissance du secteur d’activité concerné et du marché local.

Ce rapport comporte notamment :

1° Une analyse de la situation financière de l’entreprise et de ses perspectives d’évolution ;

2° Une évaluation de la valeur réelle de la société selon les méthodes objectives couramment pratiquées en matière de cession totale ou partielle d’actifs de sociétés.

Ce rapport est annexé à la délibération du conseil régional décidant la cession.
