Article R4381-14 of the French Public Health Code

No more than one quarter of the capital of a société d’exercice libéral mentioned in article R. 4381-8 may be held by one or more persons who do not meet the conditions of the first paragraph or of 1° and 5° of article 5 of law no. 90-1258 of 31 December 1990 relating to the practice of the liberal professions in the form of companies.

However, where the société d’exercice libéral is constituted in the form of a société en commandite par actions (limited partnership with shares), the proportion of capital held by persons other than those mentioned in article 5 of the law of 31 December 1990 may be greater than that set in the preceding paragraph, but may not amount to more than half of that capital.

Le quart au plus du capital d’une société d’exercice libéral mentionnée à l’article R. 4381-8 peut être détenu par une ou plusieurs personnes ne répondant pas aux conditions du premier alinéa ou des 1° et 5° de l’article 5 de la loi n° 90-1258 du 31 décembre 1990 relative à l’exercice sous forme de sociétés des professions libérales.

Toutefois, lorsque la société d’exercice libéral est constituée sous la forme d’une société en commandite par actions, la quotité du capital détenue par des personnes autres que celles mentionnées à l’article 5 de la loi du 31 décembre 1990 peut être supérieure à celle fixée à l’alinéa qui précède sans pouvoir cependant atteindre la moitié de ce capital.
