Article R4381-18 of the French Public Health Code

The partnership is subject, where they exist, to the disciplinary provisions applicable to the profession. It may not be subject to disciplinary proceedings independently of those brought against one or more partners practising within it.

A decision to disqualify one or more partners, but not all of them, does not constitute a decision to appoint an administrator.

A decision to ban either the company or all the members shall appoint one or more directors to perform all acts necessary for the management of the company.

In the event that the company and one or more of the partners are disqualified, the partners who are not disqualified shall be appointed as directors.

La société d’exercice libéral est soumise, lorsqu’elles existent, aux dispositions disciplinaires applicables à la profession. Elle ne peut faire l’objet de poursuites disciplinaires indépendamment de celles qui seraient intentées contre un ou plusieurs associés exerçant leur profession en son sein.

La décision qui prononce l’interdiction d’un ou de plusieurs associés, mais non de la totalité d’entre eux, ne commet pas d’administrateur.

La décision qui prononce l’interdiction soit de la société, soit de tous les associés, commet un ou plusieurs administrateurs pour accomplir tous actes nécessaires à la gestion de la société.

Au cas où la société et l’un ou plusieurs des associés sont interdits, les associés non interdits sont nommés administrateurs.
