Article R4381-56 of the French Public Health Code

When a partner intends to withdraw from the company pursuant to article 21 of law no. 66-879 of 29 November 1966 relating to non-trading professional companies, he shall notify the company of his decision in one of the forms provided for in the first paragraph of article R. 4381-53.

The company has a period of six months from the date of this notification to notify the member, in the same form, either of a plan to transfer his shares to a member or to a third party who fulfils the conditions required to practise as a nurse, or of a plan for the company to buy back the said shares. This notification implies a commitment on the part of the transferee or the acquiring company. Where necessary, the provisions of the second, third and fourth paragraphs of article R. 4381-54 will be applied.

Lorsqu’un associé entend se retirer de la société en application de l’article 21 de la loi n° 66-879 du 29 novembre 1966 relative aux sociétés civiles professionnelles, il notifie sa décision à la société dans l’une des formes prévues au premier alinéa de l’article R. 4381-53.

La société dispose d’un délai de six mois à compter de cette notification pour notifier à l’associé, dans la même forme, soit un projet de cession de ses parts à un associé ou à un tiers remplissant les conditions requises pour l’exercice de la profession d’infirmier et d’infirmière, soit un projet de rachat desdites parts par la société. Cette notification implique un engagement du cessionnaire ou de la société qui se porte acquéreur. Il est fait, en tant que de besoin, application des dispositions des deuxième, troisième et quatrième alinéas de l’article R. 4381-54.
