Article R5315-4 of the French Labour Code

The Chairman of the Board of Directors:

1° Presides over the discussions of the Board of Directors. He has the casting vote in the event of a tied vote;

2° Convenes the Board of Directors, sets its agenda on the proposal of the Managing Director, signs the minutes of the Board of Directors’ meetings and ensures that they are sent without delay to the supervisory ministers;

3° Ensures that its deliberations are implemented, on which the Managing Director reports regularly;

4° Signs, jointly with the Managing Director, the objectives and performance contract mentioned in 1° of article R. 5315-2.

Le président du conseil d’administration :


1° Préside les débats du conseil d’administration. Il a voix prépondérante en cas de partage égal des voix ;


2° Convoque le conseil d’administration, arrête son ordre du jour sur proposition du directeur général, signe les procès-verbaux des séances du conseil d’administration et veille à ce qu’ils soient adressés sans délai aux ministres de tutelle ;


3° S’assure de la mise en œuvre de ses délibérations, dont le directeur général rend compte régulièrement ;


4° Signe, conjointement avec le directeur général, le contrat d’objectifs et de performance mentionné au 1° de l’article R. 5315-2.
