The Board may only validly deliberate if at least half of the members in office are present. If this quorum is not reached, the Board is reconvened to discuss all or some of the matters on the previous agenda within a period of fifteen days. It shall then deliberate validly, regardless of the number of directors present.
If the Chairman is unable to attend, the Board of Directors appoints a Chairman to chair the meeting.
The Board’s decisions are adopted by a majority of the members present. In the event of a tie, the Chairman has the casting vote.
