Article R6123-7 of the French Labour Code

I. – Expenses incurred by members of the Board of Directors in the performance of their duties are reimbursed by the institution in accordance with the conditions set out in Decree no. 2006-781 of 3 July 2006 setting the conditions and procedures for payment of expenses incurred by civil servants of the French State in connection with their temporary travel.

II. – When the Board of Directors is deliberating on a decision in which one of its members has, directly or indirectly, any interest whatsoever, the member concerned does not attend the deliberation. Decisions taken in breach of this obligation are automatically null and void.

I. – Les frais exposés par les membres du conseil d’administration pour l’exercice de leur mandat sont remboursés par l’établissement dans les conditions prévues par le décret n° 2006-781 du 3 juillet 2006 fixant les conditions et les modalités de règlement des frais occasionnés par les déplacements temporaires des personnels civils de l’Etat.

II. – Lorsque le conseil d’administration délibère sur une décision dans laquelle un des membres a, directement ou indirectement, un intérêt quelconque, le membre intéressé n’assiste pas à la délibération. Les délibérations prises en violation de cette obligation sont nulles de plein droit.
