Article R6123-9 of the French Labour Code

The Board of Directors may delegate some of its powers to the Chief Executive Officer within the limits it determines, with the exception of those mentioned in 2°, 3°, 5°, 7°, 9°, 10°, 11°, 12°, 13°, 16°, 17° and 20° of I of article R. 6123-8.

The Chief Executive Officer reports on the decisions he has taken by virtue of this delegation at the next meeting of the Board of Directors.

Le conseil d’administration peut déléguer au directeur général certaines de ses attributions dans les limites qu’il détermine, à l’exclusion de celles mentionnées aux 2°, 3°, 5°, 7°, 9°, 10°, 11°, 12°, 13°, 16°, 17° et 20° du I de l’article R. 6123-8.

Le directeur général rend compte des décisions qu’il a prises en vertu de cette délégation lors de la séance suivante du conseil d’administration.
