Article R6141-59 of the French Public Health Code

The Director of the Foundation is appointed by the President after consultation with the Board of Directors. His or her appointment shall be terminated under the same conditions.

The Director is responsible for the affairs of the Foundation other than those listed in article R. 6141-58. He prepares and implements the decisions of the Board of Directors. He manages the Foundation’s departments.

The functions of Director and member of the Board of Directors are incompatible.

The functions of Director and Director of a public health establishment are incompatible.

Article R6141-59

Le directeur de la fondation est désigné par le président après avis du conseil d’administration. Il est mis fin à ses fonctions dans les mêmes conditions.

Le directeur est compétent pour régler les affaires de la fondation autres que celles qui sont énumérées à l’article R. 6141-58. Il prépare et met en œuvre les délibérations du conseil d’administration. Il dirige les services de la fondation.

Les fonctions de directeur et de membre du conseil d’administration sont incompatibles.

Les fonctions de directeur et de directeur d’un établissement public de santé sont incompatibles.
