The Supervisory Board may only validly deliberate if at least half plus one of its members attend the meeting.
However, if this quorum is not reached after the meeting has been duly convened, the decision taken at a second meeting, which must be held within three to eight days, is deemed valid regardless of the number of members present.
In this case, the Supervisory Board may decide at the beginning of the meeting to postpone all or part of the agenda to a later meeting.
When a vote is taken, it is carried out by secret ballot if one of the members present so requests. In the event of a tie, a second ballot shall be held. In the event of a further tie, the Chairman shall have the casting vote.
Postal or proxy votes are not permitted.
