Article R6322-10 of the French Public Health Code

In the event of the transfer of the operation, including where this is the result of a merger or amalgamation, the transferee, before commencing operation on its own behalf, must send the Director General of the Regional Health Agency, in accordance with the procedures laid down in the first paragraph of Article R. 6322-3, an application for confirmation of the authorisation, accompanied by the file provided for in Article R. 6322-4 as required for an application for renewal and showing, where appropriate, the changes it intends to make to the facilities or their operation.

The application must also include a document signed by the transferor or his legal representative, certifying the transfer, or a copy of the deed or promise of sale.

The Director General of the Regional Health Agency decides on the application in the same way as for an application for authorisation.

Confirmation of the authorisation may only be refused if the dossier submitted by the transferee shows changes that would justify refusal of renewal in application of article R. 6322-8.

Dans le cas de cession de l’exploitation, y compris lorsque cette cession résulte d’un regroupement ou d’une fusion, le cessionnaire, avant de commencer l’exploitation pour son compte, adresse au directeur général de l’agence régionale de santé, suivant les modalités prévues au premier alinéa de l’article R. 6322-3, une demande de confirmation de l’autorisation, assortie du dossier prévu à l’article R. 6322-4 tel qu’il est exigible pour une demande de renouvellement et faisant apparaître, le cas échéant, les modifications qu’il entend apporter aux installations ou à leur fonctionnement.

Le dossier comporte en outre un document signé du cédant ou de son représentant légal, attestant la cession, ou une copie de l’acte ou de la promesse de vente.

Le directeur général de l’agence régionale de santé statue sur cette demande suivant les modalités prévues pour une demande d’autorisation.

La confirmation de l’autorisation ne peut être refusée que si le dossier présenté par le cessionnaire fait apparaître des modifications qui seraient de nature à justifier un refus de renouvellement en application de l’article R. 6322-8.
