Article R7345-2 of the French Labour Code

I.-The term of office of the Chairman of the Board of Directors is four years and may be renewed once.

II-The term of office of the members referred to in 2° of article R. 7345-1 is four years and may be renewed once.

III-The term of office of the members referred to in 3° and 4° of article R. 7345-1 is valid until the next publication of the lists referred to in article L. 7343-4 and article L. 7343-24 respectively.

IV-Any vacancy for any reason whatsoever, or loss of the capacity in respect of which a qualified person or representative has been appointed, gives rise to a replacement for the remainder of the term of office.

V.-The Chairman of the Board of Directors is entitled to an expense allowance, the amount of which is set by joint order of the Minister for Labour, the Minister for Transport and the Minister for the Budget. The mandate of the other members of the Board of Directors is free of charge, subject to reimbursement of travel and subsistence expenses, under the conditions laid down by the regulations applicable to civil servants in the State.

Article R7345-2

I.-Le mandat du président du conseil d’administration est de quatre années au terme desquelles il peut être reconduit une fois.

II.-Le mandat des membres visés au 2° de l’article R. 7345-1 est de quatre années au terme desquelles il peut être reconduit une fois.

III.-Le mandat des membres visés aux 3° et 4° de l’article R. 7345-1 est valable jusqu’à la prochaine publication des listes mentionnées respectivement à l’article L. 7343-4 et à l’article L. 7343-24.

IV.-Toute vacance pour quelque cause que ce soit, ou perte de la qualité au titre de laquelle une personnalité qualifiée ou un représentant a été nommé, donne lieu à remplacement pour la durée du mandat restant à courir.

V.-Une indemnité de fonction dont le montant est fixé par arrêté conjoint du ministre chargé du travail, du ministre chargé des transports et du ministre chargé du budget est attribuée au président du conseil d’administration. Le mandat des autres membres du conseil d’administration est gratuit, sous réserve du remboursement des frais de déplacement et de séjour, dans les conditions prévues par la réglementation applicable aux personnels civils de l’Etat.
