The Board of Directors may only validly deliberate if at least half of its members are present. If the quorum is not reached, the Board is reconvened with the same agenda within a fortnight. It then deliberates validly regardless of the number of members present.
An order of the Minister for Labour and the Minister for Transport sets the total number of votes of the members of the Board of Directors and the number of votes per college as follows:
1° The Chairman of the Board of Directors has ten percent of the total votes;
2° The college mentioned in 1° of article R. 7345-1 has forty percent of the total votes;
3° The college mentioned in 2° of the same article has ten percent of the total votes;
4° The colleges mentioned in 3° and 4° of the same article each have twenty percent of the total votes.
Within the colleges, each member has the same number of votes.
The Board’s decisions are adopted by a majority of the members present or represented. In the event of a tie, the Chairman shall have the casting vote.
Minutes are taken of each Board meeting and signed by the Chairman. The minutes are sent without delay to the ministers responsible for the institution.
