Article R7345-7 of the French Labour Code

I. Members of the Board of Directors may neither attend nor take part in the deliberations when they have a personal interest in one of the items on the agenda. In such cases, they shall not be counted for the purposes of calculating the quorum and majority.

II – The Chairman, the members of the Board of Directors, with the exception of those mentioned in 3° and 4° of article R. 7345-1, and the Managing Director may not acquire or retain any interest in, or hold any office in, a company that engages, on a principal or secondary basis, in the driving of a chauffeur-driven transport vehicle or the delivery of goods by means of a two- or three-wheeled vehicle, whether motorised or not, or in a platform mentioned in article L. 7343-1.

Article R7345-7

I.-Les membres du conseil d’administration ne peuvent ni assister, ni prendre part aux délibérations lorsqu’ils ont un intérêt personnel sur un des thèmes à l’ordre du jour. Ils ne sont alors pas comptés pour le calcul du quorum et de la majorité.

II.-Le président, les membres du conseil d’administration, à l’exception de ceux mentionnés aux 3° et 4° de l’article R. 7345-1, et le directeur général ne peuvent prendre ou conserver aucun intérêt, ni occuper aucune fonction dans une entreprise qui exerce, à titre principal ou secondaire, une activité de conduite d’une voiture de transport avec chauffeur ou de livraison de marchandises au moyen d’un véhicule à deux ou trois roues, motorisées ou non, ou dans une plateforme mentionnée à l’article L. 7343-1.
