Article R822-8 of the French Consumer Code

The Board of Directors deliberates on:
1° The general orientations of the establishment;
2° The multi-year contract of objectives that the establishment concludes with the State;
3° The annual or multi-year action programmes;
4° The rules of procedure of the committee mentioned in a of 1° of Article R. 822-1, as well as on the annual specifications for technical support services to consumer organisations drawn up by this committee and presented by the director;
5° The budget;
6° The general conditions for setting the selling prices of the establishment’s products and services;
7° The annual activity report presented by the director;
8° The financial account and the allocation of the results for the financial year;
9° Borrowings;
10° The acquisition, extension or sale of financial holdings by the institution;
11° The creation or sale of subsidiary companies;
12° The acceptance or refusal of gifts and legacies;
13° The general conditions of recruitment, employment and remuneration of staff;
14° The taking of legal action and settlements.

Article R822-8

Le conseil d’administration délibère sur :
1° Les orientations générales de l’établissement ;
2° Le contrat d’objectifs pluriannuel que l’établissement conclut avec l’Etat ;
3° Les programmes annuels ou pluriannuels d’action ;
4° Le règlement intérieur de la commission mentionnée au a du 1° de l’article R. 822-1, ainsi que sur le cahier des charges annuel des prestations de l’appui technique aux organisations de consommateurs élaboré par cette commission et présenté par le directeur ;
5° Le budget ;
6° Les conditions générales de fixation des prix de vente des produits et des prestations de l’établissement ;
7° Le rapport annuel d’activité présenté par le directeur ;
8° Le compte financier et l’affectation des résultats de l’exercice ;
9° Les emprunts ;
10° Les prises, extensions ou cessions de participations financières de l’établissement ;
11° La création ou la cession de sociétés filiales ;
12° L’acceptation ou le refus de dons et legs ;
13° Les conditions générales de recrutement, d’emploi et de rémunération des personnels ;
14° L’exercice des actions en justice et les transactions.
Le conseil d’administration élabore son règlement intérieur.
