Article R822-80 of the French Commercial code

The Articles of Association set the number of votes each partner has.

A partner may give a written mandate to another partner to represent him at the meeting.

The meeting may only validly deliberate if at least three quarters of the partners are present or represented. If this quorum is not reached, the members are convened once again and the meeting deliberates validly if at least two members are present.

Les statuts fixent le nombre des voix dont dispose chaque associé.

Un associé peut donner mandat écrit à un autre associé de le représenter à l’assemblée.

L’assemblée ne délibère valablement que si les trois quarts au moins des associés sont présents ou représentés. Si ce quorum n’est pas atteint, les associés sont convoqués une nouvelle fois et l’assemblée délibère valablement si deux associés au moins sont présents.
