The sole shareholder may transfer, in accordance with the provisions of articles R. 743-44 and R. 743-99, a portion of his shares to a third party who fulfils the conditions set out in article R. 743-81.
The proposed transfer of company shares is notified to the company and to each of the members by registered letter with acknowledgement of receipt. The company notifies its express consent to the transfer in the same form. If it has not made its decision known within two months of the last of the notifications provided for in the first paragraph, its consent is implicitly given.
