Section 2: Collective decisions by members

Collective decisions of the members shall be taken in accordance with the provisions specific to the legal form adopted by the collective management organisation, subject to the provisions of this section.

The general meeting of members is held at least once a year.

The general meeting adopts the articles of association and the general regulations, decides on any amendments to be made to them and lays down in one of these instruments the conditions of membership of the collective management undertaking. The general meeting of members may delegate all or some of the powers listed in 6°, 7°, 8° and 9° of article L. 323-6 to the supervisory body provided for in article L. 323-14 under conditions which it shall determine. The supervisory body may not delegate these powers.

All members of a collective management organisation have the right to participate and vote at the general meeting under the conditions laid down by law and by the articles of association and general regulations. Members of the collective management organisation may give a mandate to another member to represent them at the general meeting and to vote on their behalf, provided that this appointment does not create a conflict of interest, in particular where the principal and the agent belong to different categories of right holders within the organisation.
