Article D2363-1 of the French Labour Code

In the cases provided for in Article L. 2363-2, the following must be attached to the application for registration of the European Cooperative Society:

1° The agreement relating to the establishment of the European Cooperative Society’s works council and, where the European Cooperative Society is not composed exclusively of natural persons, an employee participation scheme as provided for in article L. 2363-2 ;

2° In the absence of the agreement referred to in 1°, a written undertaking by the directors of the participating legal entities or natural persons to apply the provisions of Articles L. 2361-2, L. 2361-5, L. 2362-9, L. 2363-1, L. 2363-3 to L. 2363-11 and L. 2364-1.

Article D2363-1

Dans les hypothèses prévues à l’article L. 2363-2, est joint à la demande d’immatriculation de la société coopérative européenne :

1° L’accord portant sur la mise en place du comité de la société coopérative européenne et, lorsque la société coopérative européenne n’est pas composée exclusivement de personnes physiques, d’un système de participation des salariés prévu à l’article L. 2363-2 ;

2° A défaut de l’accord mentionné au 1°, l’engagement écrit des dirigeants des personnes morales ou des personnes physiques participantes de faire application des dispositions des articles L. 2361-2, L. 2361-5, L. 2362-9, L. 2363-1, L. 2363-3 à L. 2363-11, L. 2364-1.
