Article D612-53 of the French Monetary and Financial Code

Any person referred to in the first paragraph of Article L. 612-43 must inform the Autorité de contrôle prudentiel et de résolution of the name(s) of the statutory auditor(s) it proposes to appoint or reappoint. When it informs the Authority of its intention to appoint a firm of statutory auditors as statutory auditor, it shall specify the name of the individual statutory auditor who is a partner, shareholder or manager of the said firm and who is proposed to carry out the assignment on behalf of that firm, in accordance with the provisions of the first paragraph of Article L. 822-9 of the Commercial Code.

The AMF has two months from receipt of the request for an opinion to issue its opinion on the proposed appointment of the statutory auditor. In the absence of a response within the time limit, the Authority’s opinion is deemed to be favourable.

If the Authority deems it necessary, it may request additional information by registered letter with acknowledgement of receipt sent either to the person concerned or to the proposed auditor. In the latter case, the AMF shall inform the person concerned and set a deadline for response in its request for additional information, which may not be less than one month. The period provided for in the previous paragraph is then suspended until receipt of the additional information, and at the latest until expiry of the response period.

Toute personne mentionnée au premier alinéa de l’article L. 612-43 doit faire connaître à l’Autorité de contrôle prudentiel et de résolution le nom du ou des commissaires aux comptes qu’elle se propose de nommer ou de renouveler. Lorsqu’elle informe l’autorité de son intention de désigner comme commissaire aux comptes une société de commissaires aux comptes, elle précise le nom du commissaire aux comptes personne physique associé, actionnaire ou dirigeant de ladite société, pressenti pour exercer la mission au nom de cette société, conformément aux dispositions prévues au premier alinéa de l’article L. 822-9 du code de commerce.

L’Autorité dispose d’un délai de deux mois, à compter de la réception de la demande d’avis, pour faire connaître son avis sur la proposition de désignation du commissaire aux comptes. En l’absence de réponse dans le délai imparti, l’avis de l’autorité est réputé favorable.

Si l’Autorité l’estime nécessaire, elle peut demander des informations complémentaires par lettre recommandée avec demande d’avis de réception adressée soit à la personne concernée, soit au commissaire aux comptes proposé. Dans ce dernier cas, l’Autorité en informe la personne concernée et fixe dans sa demande d’informations complémentaires un délai de réponse, lequel ne peut être inférieur à un mois. Le délai prévu à l’alinéa précédent est alors suspendu jusqu’à la réception des informations complémentaires, et au plus tard jusqu’à l’expiration du délai de réponse.
